Terms of Service

The terms that govern access to ORS AI’s website, audit process, commercial interactions, and product services.

Scope and acceptance

These Terms of Service govern access to the ORS AI website and, where applicable, use of ORS AI products and services together with any order forms, statements of work, implementation schedules, data processing terms, or security exhibits that reference them.

By accessing the website, requesting an OR audit or demo, or using the services under a commercial arrangement, you agree to these terms on behalf of yourself or the organization you represent. If you do not have authority to bind that organization, you should not use the services in that capacity.

Website use and informational materials

The website, whitepapers, articles, demos, and related materials are provided for informational and commercial evaluation purposes. They are intended to help institutional users understand ORS AI’s capabilities and should not be treated as legal, medical, reimbursement, or compliance advice.

You may use the website only for lawful purposes and in a way that does not impair the security, performance, or availability of the site or interfere with other users.

Service scope and audit requests

ORS AI may provide preliminary audits, demos, ROI models, and evaluation conversations before a paid subscription begins. Those activities are intended to illustrate likely opportunity and implementation shape; they do not create a production service commitment unless ORS AI expressly agrees to do so in writing.

Any timelines, recovery estimates, integration assumptions, or other commercial statements provided during an evaluation are indicative unless incorporated into an executed commercial agreement.

Subscriptions, order forms, and statements of work

Paid use of ORS AI is governed by the specific order form, scope document, or statement of work signed by the customer and ORS AI. Those documents define the modules purchased, implementation scope, fees, term, renewal treatment, support model, and any customer-specific security or compliance obligations.

If there is any conflict between these general terms and a mutually executed customer agreement, the customer agreement controls for that customer relationship.

Customer responsibilities

Customers are responsible for the legality, quality, accuracy, and permission status of the data they provide to ORS AI, and for ensuring that authorized users are trained and approved appropriately for the environment in which the services are used.

Customers are also responsible for maintaining the security of credentials, limiting access to authorized personnel, validating configuration choices, and using the platform in accordance with applicable healthcare, employment, privacy, and operational policies.

Acceptable use restrictions

You may not misuse the services, attempt unauthorized access, introduce malicious code, disrupt the platform, reverse engineer proprietary service components except where the law cannot be excluded, or use the services to violate the rights of ORS AI, its customers, or third parties.

You may not use the website or services to test competitive extraction workflows, build a competing product from non-public materials, or submit data you are not entitled to disclose to ORS AI.

Integrations and third-party dependencies

ORS AI may integrate with customer systems and approved third-party services. Customers are responsible for ensuring those systems are available, properly configured, and licensed, and that ORS AI has the permissions reasonably required to perform the agreed services.

ORS AI is not responsible for failures caused by third-party platforms, inaccurate source data, network constraints, customer-side changes, or the customer’s decision not to follow recommended deployment or configuration guidance.

Intellectual property and feedback

ORS AI and its licensors retain all rights, title, and interest in the website, platform, models, workflows, designs, documentation, branding, and related intellectual property except for any rights expressly granted in writing to a customer.

Customers retain rights in their own data. If a customer provides suggestions, enhancement requests, feedback, or operational observations, ORS AI may use that input to improve the services without restriction unless the parties agree otherwise in writing.

Confidentiality

Each party may receive confidential information from the other in connection with demos, evaluations, implementation work, support, and service delivery. The receiving party must use that information only for the permitted business purpose and must protect it using reasonable care.

Confidentiality obligations do not apply to information that is or becomes public without breach, is already known without restriction, is independently developed, or is received lawfully from a third party without confidentiality duty.

Fees, taxes, and payment

Fees, invoicing schedules, taxes, payment windows, and any implementation or support charges are governed by the applicable order form or statement of work. Unless a written agreement states otherwise, fees are exclusive of taxes and are not contingent on a particular business outcome.

Late payments may result in interest charges where permitted, suspension of services, delayed support, or a pause in implementation work until the account is brought current.

Availability, support, and suspension

ORS AI will use commercially reasonable efforts to provide the services described in the relevant customer agreement. Support levels, uptime commitments, escalation windows, and response targets apply only to the extent stated in that agreement.

ORS AI may suspend access temporarily if necessary to address security risk, legal obligations, non-payment, infrastructure issues, or serious misuse of the services. Where practical, ORS AI will provide notice and work with the customer to resolve the issue.

Warranties and disclaimers

ORS AI warrants that it will provide services with reasonable skill and care consistent with the nature of a software and implementation provider operating in healthcare workflows. Except where a written customer agreement says otherwise, the website and services are provided on an as-available and as-configured basis.

To the maximum extent permitted by law, ORS AI disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Operational recommendations produced by the platform are decision-support outputs and do not replace customer judgment or regulatory responsibilities.

Limitation of liability

To the fullest extent permitted by law, ORS AI is not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profit, lost revenue, lost goodwill, loss of data, or business interruption arising from use of the website or services.

ORS AI’s aggregate liability relating to a claim under the services is limited to the fees paid or payable by the customer under the applicable agreement during the twelve months immediately preceding the event giving rise to the claim, except where the law prohibits such a limitation.

Termination and effect of termination

Either party may terminate a commercial relationship according to the termination rights stated in the governing order form, statement of work, or applicable law. ORS AI may also terminate or suspend access where continued service would create legal, payment, or security risk.

Upon termination or expiry, rights to use the affected services end, and each party must comply with the relevant agreement’s provisions relating to payment, return or deletion of data, confidentiality, outstanding obligations, and surviving clauses.

Governing law and disputes

These terms are governed by the laws of India unless a signed customer agreement states otherwise. Courts in Mumbai, Maharashtra shall have jurisdiction over disputes relating to these terms, subject to any agreed dispute-resolution process in a customer contract.

The parties agree to try to resolve disputes through good-faith operational and commercial escalation before starting formal proceedings where practical.

Changes and contact

ORS AI may update these terms from time to time to reflect changes in the website, services, legal requirements, or business operations. The updated version will be posted with a revised effective date.
